1. Introduction
Welcome to DigiFlow by DigiFlow Software Limited (“DigiFlow”). These terms and conditions (“Terms”) govern your use of the software and services provided by DigiFlow. By accessing or using DigiFlow, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use DigiFlow.
2. Use of DigiFlow
DigiFlow is a cloud-based software that allows you to manage your business processes. You may use DigiFlow only for lawful purposes and in accordance with these Terms.
You may not use DigiFlow in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of DigiFlow. You may not attempt to gain unauthorized access to any portion or feature of DigiFlow or any other systems or networks connected to DigiFlow.
3. User Accounts
In order to access and use certain features of DigiFlow, you may need to create an account (“User Account”). You must provide accurate and complete information when creating a User Account, and you must keep your User Account information up-to-date.
You are responsible for maintaining the confidentiality of your User Account login information, and you are solely responsible for all activities that occur under your User Account. You agree to immediately notify DigiFlow of any unauthorized use, or suspected unauthorized use, of your User Account or any other breach of security.
DigiFlow reserves the right to terminate or suspend your User Account or your access to DigiFlow at any time for any reason without prior notice.
4. Fees and Payment
DigiFlow may charge fees for the use of certain features or services. All fees are non-refundable unless otherwise stated.
You agree to pay all fees and charges in a timely manner and to keep your payment information up-to-date. Failure to pay fees or charges may result in the suspension or termination of your User Account.
5. Intellectual Property
DigiFlow, its software, and its services, including all text, graphics, logos, images, and software code, are the property of DigiFlow Software Limited or its licensors, and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, display, reproduce, publish, license, create derivative works from, transfer, or sell any part of DigiFlow or its content without prior written permission from DigiFlow Software Limited.
6. User Content
You retain ownership of all intellectual property rights in any data, content, or information you provide to DigiFlow (“User Content”). By providing User Content, you grant DigiFlow a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to use, copy, modify, distribute, publish, and process User Content in any manner or media now known or later developed.
You represent and warrant that you have all necessary rights, licenses, and permissions to provide User Content and to grant the foregoing rights to DigiFlow.
7. Confidentiality
You acknowledge that, in the course of using DigiFlow, you may have access to confidential or proprietary information belonging to DigiFlow or its other users (“Confidential Information”). You agree to keep Confidential Information confidential and to not disclose or use Confidential Information except as necessary to use DigiFlow in accordance with these Terms.
8. Indemnification
You agree to indemnify and hold harmless DigiFlow Software Limited, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of DigiFlow, your User Content, your breach of these Terms, or your violation of any law or the rights of any third party.
9. Disclaimer of Warranties
DigiFlow is provided “as is” and without warranties of any kind, either express or implied. DigiFlow Software Limited disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DigiFlow Software Limited does not warrant that DigiFlow will meet your requirements, that it will be uninterrupted, error-free, or secure, or that defects in DigiFlow will be corrected.
10. Limitation of Liability
In no event shall DigiFlow Software Limited be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to your use of DigiFlow, including but not limited to lost profits, lost data, or business interruption. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the country where DigiFlow Software Limited is incorporated. Any dispute arising out of or related to these Terms or your use of DigiFlow shall be brought exclusively in the courts located in the country where DigiFlow Software Limited is incorporated.
12. Changes to these Terms
DigiFlow Software Limited reserves the right to modify these Terms at any time without prior notice. The most current version of these Terms will be available at www.digivo.com/terms. Your continued use of DigiFlow after any changes to these Terms constitutes your acceptance of the new Terms.
13. Entire Agreement
These Terms constitute the entire agreement between you and DigiFlow Software Limited with respect to the use of DigiFlow and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and DigiFlow Software Limited.
